Terms of Service
The terms that govern your use of OpenResearch, its subscriptions, and its managed compute.

1. Agreement
These Terms of Service ("Terms") govern your access to and use of openresearch.lol and the OpenResearch service (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
OpenResearch is a local-first workspace for research agents and autoresearch. The dashboard runs on your machine and keeps your projects, experiments, runs, logs, code, and artifacts in a local store.
Parts of the Service depend on your own tooling and infrastructure, including the coding agent you choose, your model access, and the compute you point runs at. We are not responsible for third-party tools, models, or providers.
3. Accounts
Accounts are created through Google sign-in. You are responsible for the activity under your account and for keeping access to your Google account secure. We may suspend or terminate accounts that abuse the Service, violate these Terms, or create risk for other users or for us.
4. Subscriptions, credits and billing
Paid plans are billed through Stripe on a monthly or annual basis and include a monthly allowance of experiment credits and managed compute access. Prices, allowances, and plan features are shown on the pricing page and may change for future billing periods.
Subscriptions renew automatically until cancelled. You can cancel at any time from the billing area of your account, and the plan stays active until the end of the current billing period. Credits are consumed by runs and are not transferable between accounts.
You are responsible for any taxes associated with your subscription, other than taxes on our income.
5. Refunds
Refunds are handled under our Refund Policy, which forms part of these Terms.
6. Acceptable use
You agree not to use the Service to break the law, to infringe intellectual property or privacy rights, to distribute malware, to attack or overload systems you do not own, to attempt to gain unauthorized access to the Service or to other accounts, or to resell the Service without our written agreement.
7. Managed compute
When you launch runs on managed compute, you are responsible for the code and data you submit and for the cost of the resources you consume. You must have the rights needed to run the code you submit, and you may not use managed compute to mine cryptocurrency, to run workloads that violate a provider policy, or to attempt to bypass provider controls.
8. Your content and results
You keep all rights to your code, data, prompts, and research outputs. We claim no ownership over them. Because the workspace is local-first, we generally do not host them at all; when you submit work to managed compute, you grant us the limited rights needed to run that workload on your behalf.
9. Open source components
The OpenResearch CLI and related components are distributed under their own open source licenses, which govern your use of that software. These Terms govern the hosted website, the account area, and any managed service we provide.
10. Availability and changes
The Service is provided on an "as is" and "as available" basis. We may add, change, or remove features, and we may suspend the Service for maintenance. We do not guarantee that the Service will be uninterrupted, error free, or that any experiment will produce a particular result.
11. Disclaimer and limitation of liability
To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or the cost of substitute services.
Where liability cannot be excluded, our total liability is limited to the amount you paid us in the twelve months before the event giving rise to the claim.
12. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms, if we are required to do so by law, or if continuing to provide the Service would create legal or security risk for us or for others.
13. Governing terms and contact
These Terms are governed by the laws applicable at our principal place of business, without regard to conflict of law rules. If a provision is found unenforceable, the remaining provisions stay in effect.
